Introduction

Thank you for using the Metaphysical Quest platform and the products, services and features we make available to you as part of the platform. When you create an account or use the Metaphysical Quest platform you agree to the following terms on this page.

 

Our Service (Platform)

The Service allows you to discover, watch and share videos and other content, provides a forum for people to connect, inform, and inspire others across the globe, and acts as a distribution platform for original content creators and advertisers large and small.

 

Applicable Terms

Your use of the Service is subject to these terms, the Metaphysical Quest Community Guidelines and the Policy, Safety and Copyright Policies (together, the “Agreement”). Your Agreement with us will also include the Advertising on Metaphysical Quest Policies if you provide advertising or sponsorships to the Service or incorporate paid promotions in your Content.

Please read this Agreement carefully and make sure you understand it. If you do not understand the Agreement, or do not accept any part of it, then you may not use the Service.

 

Who may use the Service?

Age Requirements

You may use the Service if you are at least 18 years old.

 

Permission by Parent or Guardian

If you are under 18, you must have your parent or legal guardian’s permission to use the Service. Please have them read this Agreement with you.

If you are a parent or legal guardian of a user under the age of 18, by allowing your child to use the Service, you are subject to the terms of this Agreement and responsible for your child’s activity on the Service.

Businesses

If you are using the Service on behalf of a company or organization, you confirm to us that you have authority to act on behalf of that entity, and that entity accepts this Agreement.

 

Your Use of the Service (Platform)

Content on the Service (Platform)

The content on the Service includes videos, audio (for example music and other sounds), graphics, photos, text (such as comments and scripts), branding (including trade names, trademarks, service marks, or logos), interactive features, software, metrics, and other materials whether provided by you, Metaphysical Quest or a third party (collectively, “Content”). Content may be provided to the Service and distributed by our users, and Metaphysical Quest is a provider of hosting services for such Content. Content is the responsibility of the person or entity that provides it to the Service. If you see any Content you believe does not comply with this Agreement, such as by violating the Community Guidelines or the law, you can report it to us.

 

Permissions and Restrictions

Proprietary Restrictions

The Metaphysical Quest site, including its general layout, design and content, is exclusively owned by Metaphysical Quest. Users do not have the right, and specifically agree not to do the following with respect to the site or any part, component or extension of the Site: (i) copy, transfer, adapt, modify, distribute or reproduce it, in any manner; (ii) reverse assemble, decompile, reverse engineer or otherwise attempt to derive its source code, underlying ideas, algorithms, structure or organization; (iii) modify or create derivative works; (iv) remove any copyright notice, identification or any other proprietary notices, or; (v) use the Site in any manner that could damage, disable, overburden or impair the Site, or interfere with any other users’ experience of the Site. Users also agree not to allow anyone else to do any of the activities stated above.

You may access and use the Service as made available to you, as long as you comply with this Agreement and the law.

 

Other restrictions:

The following restrictions apply to your use of the Service. You are not allowed to:

  1. If exclusive/paid content that is being monetized is found to be available for free on other platform, your account may be put on-hold or terminated. Further to this: access, reproduce, download, distribute, transmit, broadcast, display, sell, license, alter, modify or otherwise use any part of the Service or any Content except: (a) as specifically permitted by the Service; (b) with prior written permission from Metaphysical Quest and, if applicable, the respective rights holders; or (c) as permitted by applicable law;
  2. circumvent, disable, fraudulently engage with, or otherwise interfere with the Service (or attempt to do any of these things), including security-related features or features that: (a) prevent or restrict the copying or other use of Content; or (b) limit the use of the Service or Content;
  3. access the Service using any automated means (such as robots, botnets or scrapers) except: (a) in the case of public search engines, in accordance with Metaphysical Quest robots.txt file; (b) with Metaphysical Quest prior written permission; or (c) as permitted by applicable law;
  4. collect or use any information that might identify a person (for example, harvesting usernames or faces), unless permitted by that person or allowed under section 3 above;
  5. use the Service to distribute unsolicited promotional or commercial content or other unwanted or mass solicitations (spam);
  6. cause or encourage any inaccurate measurements of genuine user engagement with the Service, including by paying people or providing them with incentives to increase a video’s views, likes, or dislikes, or to increase a channel’s subscribers, or otherwise manipulate metrics;
  7. misuse any reporting, flagging, complaint, dispute, or appeals process, including by making groundless, vexatious, or frivolous submissions;
  8. run contests on or through the Service that do not comply with Metaphysical Quest’s contest policies and guidelines
  9. use the Service to view or listen to Content other than for personal, non-commercial use (for example, you may not publicly screen videos or stream music from the Service); or
  10. use the Service to: (a) sell any advertising, sponsorships, or promotions placed on, around, or within the Service or Content, other than those pre-authorized ; or (b) sell advertising, sponsorships, or promotions on any page of any website or application that only contains Content from the Service or where Content from the Service is the primary basis for such sales (for example, selling ads on a webpage where Metaphysical Quest videos are the only content of value).

 

 

Reservations

Any right not expressly granted to you in this Agreement remains the right of Metaphysical Quest or the respective rights holders. This means, for example, that using the Service does not give you ownership of any intellectual property rights in the Content you access (including any branding used on or displayed in the Service).

 

Develop, Improve and Update the Service

Metaphysical Quest is constantly changing and improving the Service. As part of this continual evolution, we may make modifications (to all or part of the Service) such as adding or removing features and functionalities, offering new digital content or services or discontinuing old ones.

We may also need to alter or discontinue the Service, or any part of it, in order to make performance or security improvements, make changes to comply with law, or prevent illegal activities on or abuse of our systems. These changes may affect all users, some users or even an individual user.

 

Uploading Content

If you have a Metaphysical Quest channel, you may be able to upload Content to the Service. You may use your Content to promote your business or artistic enterprise. If you choose to upload Content, you must not submit to the Service any Content that does not comply with this Agreement or the law.

  1. If you post any ‘pay per view’ content or paid content (paid webinars/podcasts etc.) the content needs to be exclusively hosted on Metaphysical Quest and must not be available for viewing for free on any other platform or on free membership websites.
  2. The Content you submit must not include third-party intellectual property (such as copyrighted material) unless you have permission from that party or are otherwise legally entitled to do so.
  3. You are legally responsible for the Content you submit to the Service. We may use automated systems that analyze your Content to help detect infringement and abuse, such as spam, malware, and illegal content.

 

Rights you Retain/Grant:

You retain all of your ownership rights in your Content. In short, what belongs to you stays yours. However, we do require you to grant certain rights to Metaphysical Quest and other users of the Service, as described below.

 

License to Metaphysical Quest

By providing Content to the Service, you grant to Metaphysical Quest a worldwide, non-exclusive, royalty-free, transferable, sub-licensable license to use that Content (including to reproduce, distribute, modify, display and perform it) for the purpose of operating, promoting, and improving the Service.

 

License to Other Users

You also grant each other user of the Service a worldwide, non-exclusive, royalty-free license to access your Content through the Service, and to use that Content (including to reproduce, distribute, modify, display, and perform it) only as enabled by a feature of the Service.

 

Duration of License

The licenses granted by you continue until the Content is removed as described below. Once removed, the licenses will terminate, except where the operation of the Service, use of Content permitted before your removal, or the law requires otherwise. For example, removal of Content by you does not require Metaphysical Quest to: (a) recall Content that is being used by other users within any limited offline viewing functionality of the Service; or (b) delete copies we reasonably need to keep for legal purposes.

 

Right to Monetize

You grant to Metaphysical Quest the right to monetize your Content on the Service (and such monetization may include displaying ads on or within Content or charging users a fee for access). This Agreement does not entitle you to any payments. Any payments you may be entitled to receive from Metaphysical Quest under any other agreement between you and Metaphysical Quest (including for example payments under the Metaphysical Quest Partner Program, Channel memberships, virtual gifts/donations) will be treated as royalties. If required by law, Metaphysical Quest will withhold taxes from such payments.

 

Removing Your Content

You may remove your Content from the Service at any time. You also have the option to make a copy of your Content before removing it. You must remove your Content if you no longer have the rights required by these terms.

 

Removal of Content By Metaphysical Quest

If we reasonably believe that any of your Content (1) is in breach of this Agreement or (2) may cause harm to Metaphysical Quest, our users, or third parties, we reserve the right to remove or take down some or all of such Content. We will notify you with the reason for our action unless we reasonably believe that to do so: (a) would violate the law or the direction of a legal enforcement authority, or would otherwise risk legal liability for Metaphysical Quest or our Affiliates; (b) would compromise an investigation or the integrity or operation of the Service; or (c) would cause harm to any user, other third party, Metaphysical Quest or our Affiliates.

 

Guidelines for Post Removal

If your channel has been restricted by us, you must not use another channel to circumvent these restrictions. Violation of this prohibition is a material breach of this Agreement.

 

Copyright Protection

If you believe your copyright has been infringed on the Service, please send us a message to enable us to take appropriate action against the violator.

 

Account Suspension and Termination

 

Terminations by You

You may stop using the Service at any time.

 

Terminations and Suspensions by Metaphysical Quest

Metaphysical Quest reserves the right to suspend or terminate your or your access to all or part of the Service if: (a) you materially or repeatedly breach this Agreement; (b) we are required to do so to comply with a legal requirement or a court order; or (c) we reasonably believe that there has been conduct that creates liability or harm to any user, other third party, Metaphysical Quest or our Affiliates.

 

Notice for Termination or Suspension

We may notify you with the reason for termination or suspension by Metaphysical Quest unless we reasonably believe that to do so: (a) would violate the law or the direction of a legal enforcement authority; (b) would compromise an investigation; (c) would compromise the integrity, operation or security of the Service; or (d) would cause harm to any user, other third party, Metaphysical Quest or our Affiliates.

 

Other Legal Terms

Warranty

We provide the Service with reasonable care and skill.

 

Disclaimer

Metaphysical Quest does not make any specific promises about the Service. For example, we don’t make any promises about: the Content provided through the Service; the specific features of the Service, or its accuracy, reliability, availability, or ability to meet your needs; or that any Content you submit will be accessible or stored on the Service.

 

Limitation of Liability

All users: Nothing in this Agreement is intended to exclude or limit any party’s liability for: death or personal injury; fraud; fraudulent misrepresentation; or any liability that cannot be excluded or limited by law.

To the extent permitted by applicable law, Metaphysical Quest and its Affiliates will not be responsible for:

  1. losses that were not caused by Metaphysical Quest or its Affiliates’ breach of this Agreement;
  2. any loss or damage that was not, at the time that this Agreement was formed between you and Metaphysical Quest, a reasonably foreseeable consequence of Metaphysical Quest or its Affiliates breaching this Agreement; or
  3. the Content submitted by any user, or for the defamatory, offensive, or illegal conduct of any user.

Business Users only: If you are using the Service for the purpose of your trade, business, craft or profession, (a “Business User”), to the extent permitted by applicable law, the following limitations of liability will also apply:

  1. Metaphysical Quest and its Affiliates will not be responsible for lost profits, revenues, or data; loss of opportunity or anticipated savings; indirect or consequential losses, or punitive damages (in all cases whether such losses were foreseeable or not); and
  2. Metaphysical Quest and its Affiliates’ total liability for any claims arising from or relating to the Service is limited to: the amount of revenue that Metaphysical Quest has paid to you from your use of the Service in the 12 months before the date of your notice, in writing to Metaphysical Quest.

 

Third-Party Links

The Service may contain links to third-party websites and online services that are not owned or controlled by Metaphysical Quest. Metaphysical Quest has no control over, and assumes no responsibility for, such websites and online services. Be aware when you leave the Service; we suggest you read the terms and privacy policy of each third-party website and online service that you visit.

 

Paid Service Terms

 

The provisions of the Metaphysical Quest Terms of Service above-referenced (including those relating to governing law and limitation of liability) apply to your use of the Metaphysical Quest Paid Services. If there is a conflict between the “Terms of Service” above and these Paid Service Terms below, the “Paid Service Terms” will take precedence.

 

1.1 Our Service (Platform)

Thank you for using the Metaphysical Quest platform and the products, services and features we make available to you as part of the platform. Metaphysical Quest enables access to certain premium features or content in exchange for one-time or recurring fees (each a “Paid Service”). The Paid Services include Metaphysical Quest rentals and purchases, channel memberships, paid subscriptions, and other Metaphysical Quest services which may be offered.

 

1.2 Device Requirements and Usage Limits

Certain Paid Services may require you to use a device that meets the system and compatibility requirements for that Paid Service, which may change from time to time. There may also be limits on how you can access or use the different types of Paid Services on Metaphysical Quest (e.g., applicable viewing periods and device limitations).

 

1.3 Geographic Restrictions

The Paid Services, and certain content available within the Paid Services, may only be available in certain countries. You agree that you will not present any false, inaccurate or misleading information in an effort to misrepresent your country of residence, and you will not attempt to circumvent any restrictions on access to, or availability of the Paid Services or content available within the Paid Services.

 

2. Payment and Free Trials

 

2.1 Payment

Metaphysical Quest accepts payment via the payment method indicated prior to your purchase. You must have a valid, accepted payment method on file in order to purchase Paid Services, or to participate in no-cost trial offers or other no-cost offers related to the Paid Services. You agree to pay for any Paid Service that you order. Metaphysical Quest will charge your payment method for the price listed for the relevant Paid Service along with any additional amounts relating to applicable taxes, bank fees and currency fluctuations. If you purchase any automatically renewing Paid Service subscription, you agree that Metaphysical Quest will charge the payment method on file on the first day of each billing period for the subscription, and if the payment method on file becomes invalid due to an expired credit card or other reason, and Metaphysical Quest is unable to charge you on the next billing period, you may not be able to access the applicable Paid Service until you update your payment method. Where possible, we will provide you with notice when this happens. If you fail to update your payment method within a reasonable amount of time following that notice, Metaphysical Quest may cancel your subscription.

 

2.2 Free Trials

Metaphysical Quest may offer free trials for a Paid Service to subscribers from time to time. If you purchase a subscription to a Paid Service that includes a trial, you will receive access to that Paid Service for the duration of the trial period. At the end of the trial period, you will be automatically charged the price of the subscription and will continue to be charged until you cancel your subscription. To avoid any charges, you must cancel your subscription before the end of the trial period.

 

2.3 Discounts

Metaphysical Quest may, from time to time, offer discounts on purchases or subscriptions. Additional terms and conditions, including eligibility criteria, may apply to such plans and any such additional terms will be made available to you prior to purchase.

 

2.4 Pre-Orders

Metaphysical Quest may offer the ability to pre-order certain items of content that are available within the Paid Services. When you place a pre-order, unless otherwise noted at the time, your payment method will not be charged until the date when the relevant item of content is made available to you. You can cancel a pre-order at any time up to the point at which the relevant item of content is made available. In some cases, Metaphysical Quest may need to cancel a pre-order you have placed, in which case we will notify you.

 

2.5 Taxes

If Metaphysical Quest is required to collect or pay any taxes in connection with your purchase of a Paid Service, such taxes will be charged to you at the time of each purchase transaction.

 

2.6 Receiving Payments

For us to pay you in a timely manner, you must own a PayPal in good standing and must keep us informed of the correct email associated with your account. You agree that if needed, we have the right to withhold appropriate taxes from your payments. We reserve the right to withhold payments or impose other penalties if we do not receive proper identifying information or tax documentation from you. You understand and agree that you are ultimately responsible for any taxes on your income (i.e. income tax).

Depending on the applicable revenue share model, payment will be made within 30 days of the end of the month in which we receive the payments from members/buyers.

As a creator, you are responsible for determining whether you are eligible to be paid by a company based in the UAE. We reserve the right not to pay out funds in the event of identified fraud, violations of intellectual property rights, or other violations of the law.

If we cannot settle funds into your payment account after the period of time set forth by your state, country, or other government authority in its unclaimed property laws, we may process the funds due to you in accordance with our legal obligations, including by submitting those funds to the appropriate government authority as required by law.

 

3. Cancellations and Refunds

 

Refund Policy

3.1. If you purchase a subscription to a Paid Service that automatically renews, you may cancel the subscription any time before the end of the current billing period. The cancellation will take effect at the end of that billing period. You will retain access to the Paid Service from the time you cancel until the start of the next billing period and, unless otherwise indicated, you will not receive a refund or credit for any remaining days in your current billing period.

3.2. Owing to the digital nature of products (and some services) available on the platform that cannot be returned, if your have purchased any product (or service) from the platform (such as the ones on the “Shop” page, paid videos/audios/ebooks or paid text posts), a “refund” is not possible in these cases.

3.3 If you have purchased any digital currency available on the platform (Eg. Quest Points) a refund is possible within 30 days from the purchase date, based on the available currency/points left on your account from that transaction, subject to any deduction by payment processors and based on the current exchange rates.

 

 

4. License

After completing a transaction or paying the applicable fees for a Paid Service, you may access and use that Paid Service, for your personal, non-commercial use only, and as long as you comply with the Terms and the law. Your license to the Paid Services (including any content offered through the Paid Services) is non-exclusive and all rights, title and interest in the Paid Services not expressly granted to you in these Terms are reserved by Metaphysical Quest and its licensors. You agree not to use any Paid Service, in whole or in part, in connection with any public presentation even if no fee is charged (except where such use would not constitute a copyright infringement).

 

5. Restrictions

When you use the Paid Services, you may not (or attempt to):

  • use the Paid Services in an illegal manner, or for an illegal purpose;
  • share your Metaphysical Quest account password with someone else to allow them to access any Paid Service they did not order;
  • copy, sell, rent, or sublicense the Paid Services to any third party;
  • circumvent, reverse engineer, modify, disable, or otherwise tamper with any security technology that Metaphysical Quest uses to protect the Paid Services or encourage or help anyone else to do so;
  • access the Paid Services other than by means authorized by Metaphysical Quest; or
  • remove any proprietary notices or labels on Paid Services (for example watermarks).

 

6. Changes


6.1 Changes to the Paid Services

We’re constantly developing new features and ways to improve our services and we may modify the Service (including the Paid Services) as set out in Metaphysical Quest Terms of Service. Changes to a Paid Service will not affect your ability to request a refund.

6.2 Removal or Unavailability of Content

The availability of content on a Paid Service may change from time to time, including when content within a Paid Service becomes limited or unavailable due to restrictions from our partners who license us that content, or for legal or policy reasons.

The content/services provided by Metaphysical Quest are informational in nature and information once disclosed cannot be taken back. Creator subscription membership refunds are possible within 14 days of purchase since Metaphysical Quest does not have control over the funds once transferred to the creator (after 14 days of purchase).

 

6.3 Changes to Pricing

Prices for Paid Services may change from time to time, for example, to reflect inflation, changes in pricing from our licensors, changes for promotional offerings, changes to the Paid Services or changing business needs. Metaphysical Quest does not provide price protection or refunds in the event of a price reduction or promotional offering. Any changes to pricing for Paid Services with recurring payments will only apply following reasonable notice to you. If we notify you of a price change for a Paid Service with a recurring payment and you do not want to continue that Paid Service at the new price, you may cancel the Paid Service before the start of the next subscription period in which the new price applies.

 

6.4 Changes to this Agreement

Metaphysical Quest may change these Paid Service Terms, for example, (1) to reflect changes to our Service or how we do business, e.g., when we add new products or features or remove old ones, (2) for legal, regulatory, safety or security reasons, or (3) to prevent abuse or harm. If we materially change the Paid Service Terms, we’ll provide you with reasonable advance notice  (except when we launch a new product or feature or in urgent situations, such as preventing ongoing abuse or responding to legal requirements) and an opportunity to cancel any subscriptions. The new Paid Service Terms will be effective after such notice period. Your continued use of a Paid Service following such notice period will indicate your acceptance of the new Paid Service Terms. The new terms will apply to your use of all Paid Service content (including content you have purchased in the past) and all subsequent purchases. If you do not agree to such changes then (i) please cancel any subscriptions you have purchased before the end of the notice period and (ii) you may not buy any additional Paid Services and the latest version of the Paid Service Terms that you accepted will continue to apply to your use of previously purchased Paid Services.

 

8. Communications

By using the Paid Services, you consent to receiving communications from us including marketing communications such as newsletters about Metaphysical Quest features and content, special offers, promotional announcements, and customer surveys, to your registered email address or via other methods.

 

9. Other Terms

  • The Paid Services include content uploaded or otherwise submitted by our users and partners. If you see any content which you believe does not comply with our Community Guidelines, please notify us immediately over any channel.
  • To protect your account, keep your password confidential. You should not reuse your account password on other third-party applications.
  • The provisions of the Metaphysical Quest Terms of Service (including those relating to governing law and limitation of liability) apply to your use of the Metaphysical Quest Paid Services. If there is a conflict between the general Terms of Service and these Paid Service Terms, the Paid Service Terms will take precedence.

 

 

External Links Policy


If you’re posting content –

Don’t post links in your content on Metaphysical Quest if they direct users to content that violates our Community Guidelines. This includes links that fit any of the descriptions noted below:

  • Links to pornography
  • Links to websites or apps that install malware
  • Links to websites or apps phishing for a user’s login credentials, financial information, etc.
  • Links to websites, apps, or other information technology that give unauthorized access to audio content, audiovisual content, full video games, software, or streaming services that normally require payment
  • Links to websites that seek to raise funds or recruit for terrorist organizations
  • Links to sites containing Child Sexual Abuse Imagery (CSAI)
  • Links to content that would violate our hate or harassment policies if uploaded to Metaphysical Quest
  • Links to content encouraging others to commit violent acts
  • Links to content that spread medical misinformation contradicting local health authorities’ (LHA) or the World Health Organization’s (WHO) medical information about COVID-19
  • Links to websites or apps that spread misleading or deceptive content that can cause serious risk of egregious harm, such as interfering with democratic processes
     

This policy applies to video, audio, video descriptions, comments, pinned comments, live streams, and any other Metaphysical Quest product or feature. Links can take any form that would direct a user to a site off Metaphysical Quest, including: clickable urls, showing text of urls in videos or images, obfuscated urls (e.g., writing “dot com” instead of “.com”), verbally directing users to other sites via video or audio, or encouraging viewers to visit creator profiles or pages on other sites. Please note that this is not a complete list.

Note: Affiliate content doesn’t violate Metaphysical Quest Terms of Use.

 

Examples

Here are some examples of content that’s not allowed:

  • Posting a link to a phishing site that steals users’ banking logins and passwords.
  • Instructing viewers to copy and paste an unclickable link in the video that takes them to a pornographic or spammy site.
  • Any link leading users to a website, file hosting service, etc. that allows them to access or download content against these policies.
  • Verbally directing viewers to a website to find a profile or page on another platform so they can watch content that violates Metaphysical Quest Community Guidelines.

Please remember these are just some examples.

 

What happens if content violates this policy

We may terminate your channel or account for repeated violations of the Community Guidelines or Terms of Service. We may also terminate your channel or account after a single case of severe abuse, or when the channel has repeated policy violations.

 

Additional policies

Inactive accounts policy

In general, users are expected to be active members within the Metaphysical Quest community. If an account is found to be overly inactive, the account may be reclaimed by Metaphysical Quest without notice. Inactivity may be considered as:

  • Not logging into the site for at least six months
  • Not actively partaking in watching or commenting on videos or channels

 

Encouraging Terms of Service violations policy

If you post content that encourages other users to violate our Terms of Service, the content may be removed, your account may be penalized, and in some cases your account may be terminated.

Posting previously removed content, or content from terminated or restricted creators

If you post content previously removed for violating our Terms of Service, content produced by creators with a current restriction, or content from creators who have been terminated under our Terms, the content may be removed, your account may be penalized, and in some cases your account may be terminated.

 

Spam, deceptive practices, & scams policies

You agree not to post content on Metaphysical Quest if it fits any of the descriptions noted below.

Video Spam: Content that is excessively posted, repetitive, or untargeted and does one or more of the following:

– Promises viewers they’ll see something but instead directs them off site.

– Gets clicks, views, or traffic off Metaphysical Quest by promising viewers that they’ll make money fast.

– Sends audiences to sites that spread harmful software, try to gather personal info, or other sites that have a negative impact.

Misleading Metadata or Thumbnails: Using the title, thumbnails, description to trick users into believing the content is something it is not.

– Scams: Content offering cash gifts, “get rich quick” schemes, or pyramid schemes (sending money without a tangible product in a pyramid structure).

– Incentivization Spam: Content that sells engagement metrics such as views, likes, comments, or any other metric on Metaphysical Quest.

– Comments Spam: Comments where the sole purpose is to gather personal info from viewers, misleadingly drive viewers off Metaphysical Quest, or perform any of the prohibited behaviors noted above.

– Repetitive comments: Leaving large amounts of identical, untargeted or repetitive comments.

– Live Stream Abuse: Live streams intended to stream content that belongs to somebody else and are not corrected after repeated warnings of possible abuse. Channel owners should actively monitor their live streams and correct any potential issues in a timely manner.

 

Impersonation policy

You agree not to post content on Metaphysical Quest if it fits any of the descriptions noted below.

– Channel impersonation: A channel that copies another channel’s profile, background, or overall look and feel in such a way that makes it look like someone else’s channel. The channel does not have to be 100% identical, as long as the intent is clear to copy the other channel.

– Personal impersonation: Content intended to look like someone else is posting it.

 

 

User Generated Content

User Generated Content (“UGC”) includes all content that is added by creators/users rather than content that is created by the Site (Metaphysical Quest). User Generated Content refers to all content uploaded to Metaphysical Quest by our users (creators and consumers). The user uploading/creating such content is solely responsible for it and the implications of using, disclosing, storing, or transmitting it. Metaphysical Quest does not examine user uploaded/created content for infringement of copyright, trademarks, or other rights or violations. Through the uploading of, or creating content on the Metaphysical Quest platform, you represent and warrant that you own or have obtained all rights, licenses, consents, permissions, power and/or authority necessary to use and/or upload such content, and that such content or its use in the Site does not and will not (a) infringe or violate any intellectual property, proprietary or privacy, data protection, or other legal rights of any third party (b) breach any local, state, federal, or international rules, regulations, or protocols; and/or c) breach any of your or a third party’s policies and/or terms of service. We welcome everyone to report violations, along with evidence of ownership if necessary. Any violating content can be deleted or disabled if it is reported.

In addition, Metaphysical Quest is not liable for the creators’ material, quality, or level of service (even if they are Verified creators, offer Featured Listings or otherwise). We make no representations or warranties about the Content, Services and Product Listings, their delivery, or any interactions between consumers and creators. Users are encouraged to use our rating system, the community, and good judgment when considering suitable content, products & services.

By selling content, products & services, the creator certifies that he or she possesses all required permits, rights, and/or licenses to provide, sell, or resell the content on Metaphysical Quest.

 

Disclaimer of Warranties

You agree that the site, its content, and any services or items obtained through the website are to be used at your own risk. The website, its content, products & services or items obtained through the website are provided “as is” and “as available,” without any expressed or implied warranties. Neither Metaphysical Quest nor anyone associated with metaphysical quest makes any warranty or representation regarding the completeness, security, reliability, quality, accuracy, or availability of the website/platform.

 

Limitation on liability

You agree that in no event will Metaphysical Quest, it’s affiliates, service providers, employees, agents, officers or directors be liable for damages of any kind, under any legal theory, arising out of or in connection with your use, or inability to use, the website, any websites linked to it, any content on the website or such other websites or any services or items obtained through the website or such other websites, including any direct, indirect, special, incidental, consequential or punitive damages, including but not limited to, personal injury, pain and suffering, emotional distress, loss of revenue, loss of profits, loss of business or anticipated savings, loss of use, loss of goodwill, loss of data, whether caused by tort (including negligence), breach of contract or otherwise, even if foreseeable.

 

Indemnification

If you behave in a way that gets us in legal trouble, we may exercise legal recourse against you. You agree to indemnify, defend (if we so request), and hold harmless Metaphysical Quest, our group of companies, and their officers, directors, suppliers, partners, and agents from an against any third-party claims, demands, losses, damages, or expenses (including reasonable attorney fees) arising from (a) the content you post or submit, (b) your use of the Services (c) your violation of these Terms, or (d) your violation of any rights of a third party. Your indemnification obligation will survive the termination of these Terms and your use of the Services/Platform.

 

Governing Law and Jurisdiction

These Terms are governed by the laws of the Sharjah, UAE without reference to its choice or conflicts of law principles. You consent to the exclusive jurisdiction and venue of federal/state courts in Sharjah, UAE.

 

Dispute Resolution

Most disputes can be resolved, so before bringing a formal legal case, please first try contacting Support.

Our liability (and the liability of each of our group companies, suppliers, partners, and agents) to you or any third parties under any circumstance is limited to the amount you have paid us in the twelve (12) months before the event giving rise to your claims.

 

Legal Actions and Notices

No action, regardless of form, arising out of or relating to this Agreement may be brought by either party more than one (1) year after the cause of action has accrued, except where this limitation cannot be imposed by law.

Any notice or other communication to be given hereunder will be in writing and given by email (by us to the email associated with your account) or by you to our support email address.

 

Relationship Between Us

You and we agree that no joint venture, partnership, employment, contractor, or agency relationship exists between us.

 

No Assignment

You may not assign or transfer these Terms (or the rights and licenses granted under them). For example, if you registered an account as an employee of a company, your account cannot be transferred to another employee. We may assign these Terms (or the rights and licenses granted under them) to another company/person or affiliate without restriction. Nothing in these Terms confers any right, benefit, or remedy on any third-party person or entity. You agree that your account is non-transferable and that all rights to your account and other rights under these Terms terminate upon the end of the account holder’s life.

 

Severance

If it turns out that a particular term of this Agreement is not enforceable for any reason, this will not affect any other terms.

 

No Waiver

If you do not comply with this Agreement and we do not take action immediately, this doesn’t mean that we are giving up any rights that we may have (such as the right to take action in the future).

 

Sanctions and Export Laws

You warrant that you (as an individual or as a representative of any entity on whose behalf you use the Services) aren’t located in, or a resident of, any country that is subject to applicable U.S. trade sanctions or embargoes (such as Cuba, Iran, North Korea, Sudan, Syria, or the Crimea region of Ukraine). You also warrant that you aren’t a person or entity who is named on any U.S. government specially designated national or denied-party list.

If you become subject to such a restriction during the term of any agreement with Metaphysical Quest, you will notify us within 24 hours, and we will have the right to terminate any further obligations to you, effective immediately and with no further liability to you (but without prejudice to your outstanding obligations to Metaphysical Quest).

You may not access, use, export, re-export, divert, transfer or disclose any portion of the Services or any related technical information or materials, directly or indirectly, in violation of any United States and other applicable country export control and trade sanctions laws, rules and regulations. You agree not to upload any content or technology (including information on encryption) whose export is specifically controlled under such laws.

 

 

Updating These Terms

From time to time, we may update these Terms to clarify our practices or to reflect new or different practices (such as when we add new features), and Metaphysical Quest reserves the right in its sole discretion to modify and/or make changes to these Terms at any time. If we make any material change, we will notify you using prominent means, such as by email notice sent to the email address specified in your account or by posting a notice through other channels. Modifications will become effective on the day they are posted unless stated otherwise.

Your continued use of our Services after changes become effective shall mean that you accept those changes. Any revised Terms shall supersede all previous Terms.

Changes to this Agreement

We may change this Agreement, to reflect changes to our Service or how we do business – for example, when we add new products or features or remove old ones, (2) for legal, regulatory, or security reasons, or (3) to prevent abuse or harm.

If we materially change this Agreement, we’ll provide you with reasonable advance notice and the opportunity to review the changes, except (1) when we launch a new product or feature, or (2) in urgent situations, such as preventing ongoing abuse or responding to legal requirements. If you don’t agree to the new terms, you should remove any Content you uploaded and stop using the Service.

Continuation of this Agreement

If your use of the Service ends, the following terms of this Agreement will continue to apply to you: “Other Legal Terms”, “About This Agreement”, and the licenses granted by you will continue in limited cases as described under “Duration of License”.

 

Translations

Any version of these Terms in a language other than English is provided for convenience and you understand and agree that the English language will be used to interpret these terms, should there arise any conflict.
